Caledon Card Services is a Merchant Services Provider and Third Party Processor involved in the sale and distribution of merchant accounts for both the Visa and MasterCard brands in Canada. Our products and services are focused on the face-to-face ("Retail"), Internet and mail order/telephone order ("MOTO") markets.

Caledon is actively seeking Partners who wish to grow a recurring revenue stream (see Partner Remuneration below) by providing complimentary solutions or services to our extensive credit/debit card processing and acquiring products.

In its direct selling relationship with the merchant, the Partner will be responsible for introducing the Caledon products (including ASP and API integration methodologies) to the prospective merchant. Caledon will complete the sales process for the merchant account and transaction gateway piece.

How Partner Remuneration Works

Once you become an approved Caledon Partner you can begin introducing prospective merchants to Caledon. Caledon will complete the sale of the merchant account and notify you of the results. Once your referred merchants have successfully authorized and settled transactions, you will be eligible to receive a commission payment which is determined in accordance with the net dollar volume of transactions processed by the merchant.

The program is designed to share revenues with our Partners, predicated on the actual sales produced by the merchant and the Merchant Discount Rate ("MDR") charged by Caledon. In other words, the more successful the merchant is, the more lucrative the program becomes for our Partners.

Our Partner remuneration structure is divided into two programs (see Schedule of sample calculations) :

1) Canadian dollar merchant accounts:

a) Retail merchant referral; and

b) Internet/MOTO merchant.

2) US dollar merchant accounts

1) Canadian Dollar Merchant Accounts

a) Retail Merchant Referral Remuneration

Partners referring Canadian dollar retail merchants (face-to-face/swipe based transactions) who subsequently process Visa and/or MasterCard transactions under a Caledon sponsored merchant agreement will be eligible for a commission to be calculated as follows:

Average Transaction Size < $75.01 and an MDR @ 2.75%

  • Commission = 0.15% x Net Visa/MasterCard Sales

Average Transaction Size > $75.00 and an MDR @ 2.75%

  • Commission = 0.135% x Net Visa/MasterCard Sales
Notes
  1. Commission continues to be paid as long as the merchant remains with the Caledon solution.
  2. Commission is adjusted at 15% of the difference between the actual MDR and 2.75%.
  3. Commission is calculated on a merchant-by-merchant basis.
  4. Net sales means gross authorized and settled merchant sales less refunds and chargebacks.
  5. Merchants already set-up on the Caledon "merchant acquiring" solution are excluded from the program.
b) Internet/MOTO Merchant Referral Remuneration

Partners referring Canadian dollar Internet/MOTO merchants who subsequently process Visa and/or MasterCard transactions under a Caledon sponsored merchant agreement will be eligible for a commission to be calculated as follows:

MDR @ 3.50%

  • Commission = 0.27% x Net Visa/MasterCard Sales
Notes
  1. Commission continues to be paid as long as the merchant remains with the Caledon solution.
  2. Transaction size is not a commission factor under the Internet/MOTO merchant category.
  3. Commission is adjusted at 20% of the difference between the actual MDR and 3.50%.
  4. Commission is calculated on a merchant-by-merchant basis.
  5. Net sales means gross authorized and settled merchant sales less refunds and chargebacks.
  6. Merchants already set-up on the Caledon "merchant acquiring" solution are excluded from the program.

2) US Dollar Merchant Accounts

Partners referring US dollar Retail and Internet/MOTO merchants who subsequently process Visa and/or MasterCard transactions under a Caledon sponsored merchant agreement will be eligible for a commission to be calculated as follows:

MDR @ 3.50%

  • Commission = 0.25% x Net Visa/MasterCard Sales
Notes
  1. Commission continues to be paid as long as the merchant remains with the Caledon solution.
  2. Transaction size is not a commission factor under the US dollar merchant category.
  3. Commission is adjusted at 20% of the difference between the actual MDR and 3.50%.
  4. Commission is calculated on a merchant-by-merchant basis.
  5. Net sales means gross authorized and settled merchant sales less refunds and chargebacks.
  6. Merchants already set-up on the Caledon "merchant acquiring" solution are excluded from the program.
Timing of Commission Payments

No later than thirty (30) business days following the end of each calendar quarter, Caledon will provide to its Partners both the payment and a statement of account detailing all referral fees due for that quarter.

Partner Application Process

To become a Caledon Partner and to be entitled to the benefits of the Referral Partner Remuneration Program ("RPRP") detailed below, you must complete and submit:

  1. RPRP Application; and
  2. Caledon Merchant Account Referral Partner Remuneration Agreement (the "Agreement")

Please print, read, initial and execute the RPRP Application and Agreement where indicated.

The RPRP Agreement must be submitted via fax to Charles Abraham, COO & CFO at (905) 702-9907.

Once your application has been accepted by Caledon, we will return a fully executed copy of the Agreement to you.
